Scope and agreement

These Terms of Use are issued by Sino Ventures Group Pte. Ltd. (SVG, we, us or our). They apply to visitors, enquiry submitters and registered account holders who use this website, including any premium-insight area we make available.

By accessing or using the website, you agree to these Terms. If you act for an organisation, you confirm that you are authorised to bind it. If you do not agree, do not use the website, submit an enquiry or register an account.

These Terms govern the website only. A signed engagement letter, service agreement, statement of work, confidentiality agreement or other written agreement governs the services and subject matter it covers and prevails over these Terms to the extent of any inconsistency.

Information only and no engagement

Website content, insights and communications are general information about SVG and its capabilities. They do not constitute legal, financial, tax, investment, regulatory or other professional advice, and you should obtain advice appropriate to your circumstances before acting on them. Visiting the website, reading an insight, registering an account or submitting an enquiry does not create an advisory, fiduciary, agency or client relationship.

SVG may provide strategy, market-access, representation, brand, marketing, design and customer-experience services under a written engagement. We do not guarantee a particular introduction, commercial relationship, market entry, sale, investment, regulatory outcome, funding result, third-party conduct or business result. Any scope, deliverable, fee, timetable, confidentiality commitment, responsibility and performance commitment must be agreed in writing.

Conditional permission to use the website

Subject to these Terms, SVG gives you a limited, personal, non-exclusive, non-transferable and revocable permission to use public website content for lawful informational purposes and any account area expressly made available to you. This permission does not transfer ownership or grant any right to software, systems, non-public information or functionality outside the purpose, period and access level SVG authorises.

This website is SVG's digital premises. Public availability is not permission to probe, exploit, bypass controls or access data, accounts, systems or functions outside the scope we make available.

Accounts, premium insights and submitted materials

You must keep account credentials confidential, use them only yourself and promptly notify SVG through the site contact channel if you believe they have been lost, exposed or misused. You must provide accurate registration information and not impersonate another person or organisation. SVG may suspend or close an account where this is reasonably necessary for security, misuse, legal or operational reasons.

You retain ownership of material you lawfully submit. You confirm that you have the rights needed to submit it, that it is accurate in all material respects and that it does not contain malicious code or information you are not authorised to disclose. You grant SVG a non-exclusive, royalty-free licence to receive, host, reproduce and use submitted material only as reasonably necessary to respond to an enquiry, evaluate a potential engagement, administer an account, keep the site secure, maintain records and comply with law.

Prohibited conduct

You must not access another person's account or any system, network, function or data without permission; defeat authentication, authorisation, rate limits, robots controls or other safeguards; impersonate another person; conceal the source of harmful activity; introduce malware; disrupt the website; or use the site for any unlawful, fraudulent, abusive or harmful purpose.

Without SVG's prior written permission, you must not conduct penetration testing, vulnerability scanning, port scanning, enumeration, load or stress testing, fuzzing, credential attacks, security-control bypass, denial-of-service activity, automated data extraction or other testing that could impair, interfere with or expose the website, its systems or data.

Automated crawling, scraping or other automated access is allowed only for public pages where SVG's current machine-readable permissions allow it, or where SVG gives prior written authorisation. It must remain within the permitted methods, request rates and purposes, identify the agent accurately, not evade a block or technical limit, and stop when permission ends or SVG asks. You must not use SVG's non-public material, account areas, outputs or confidential information for dataset creation, model training or model evaluation without prior written permission.

Intellectual property and confidentiality

SVG or its licensors retain all intellectual-property rights in the website, insights, software, designs, trade marks, documents and content. Except for the limited permission above and any non-excludable legal right, no right is granted to copy, adapt, reproduce, distribute, reverse engineer or create derivative works without SVG's prior written permission.

Non-public information, account content, materials identified as confidential and information a reasonable person would understand to be confidential must be used only for the authorised purpose, protected with reasonable care and not disclosed except to an authorised person bound by equivalent confidentiality obligations. This does not prevent a disclosure required by law, provided that lawful notice is given where practicable.

Links and third-party services

The website may link to SVG operating brands, portfolio businesses or third-party services. Links are provided for convenience only. SVG does not control those sites, does not endorse every third-party product or statement, and is not responsible for third-party content, availability, security, terms or privacy practices. Your use of a third-party service is governed by that service's terms and privacy notice.

Monitoring, restriction, reporting and recovery

SVG may log and monitor access, requests and security events to operate and protect the website, enforce these Terms, investigate faults or abuse and preserve evidence. We may apply rate limits, request verification, restrict, suspend or terminate access where reasonably necessary.

If SVG has reasonable grounds to suspect criminal, fraudulent, deliberately harmful or materially threatening activity, we may without prior notice restrict or terminate access, preserve relevant evidence and disclose information reasonably necessary to providers, affected persons, police, regulators, cybersecurity authorities or courts where permitted or required by law. We may make a report and cooperate with a lawful investigation where those conditions are met. A report is not a finding of guilt; the relevant authority or court decides the outcome.

To the fullest extent permitted by law, and only where these Terms bind you, you agree to compensate and reimburse SVG for loss, damage and reasonable external costs actually incurred by SVG to the extent caused by your breach or misuse. This may include reasonable forensic, containment, remediation, restoration and external legal costs to the extent recoverable by law. You indemnify SVG against third-party claims to that same extent. SVG must take reasonable steps to mitigate its loss. You are not responsible to the extent the loss was caused or contributed to by SVG's negligence, wilful misconduct or breach of law. This clause is compensatory, not a penalty or punishment, does not create an automatic finding of liability, and does not permit double recovery.

Disclaimers and limits of liability

The website and any premium insights are supplied as available. They may be incomplete, change without notice or contain errors. To the fullest extent permitted by law, SVG disclaims implied warranties of uninterrupted availability, accuracy, fitness for a particular purpose, merchantable quality and non-infringement. Nothing in these Terms excludes a guarantee, condition, remedy or liability that the law does not permit SVG to exclude.

To the fullest extent permitted by law, SVG is not liable under or in connection with these Terms for indirect or consequential loss, lost revenue, lost profit, lost opportunity, loss of goodwill or loss or corruption of data. SVG's total aggregate liability is capped at the greater of S$100 and the amount you actually paid SVG specifically for the affected website or premium-insight access during the 12 months before the event giving rise to the claim. The exclusions and cap do not apply to fraud, fraudulent misrepresentation, death or personal injury caused by negligence, wilful misconduct, or liability that cannot lawfully be excluded or limited.

Privacy, changes and Singapore law

SVG's Privacy Policy explains how it handles personal data for the website, enquiries, accounts and security. You must not use the website to collect or process another person's personal data unless you are authorised and applicable law permits it.

SVG may revise these Terms prospectively for legal, security, operational or service changes. The effective date identifies the current version. A revision does not retrospectively change completed conduct, remove accrued rights or displace a written agreement that governs a client engagement.

These Terms and any non-contractual obligation connected with them are governed by Singapore law. You and SVG submit to the exclusive jurisdiction of the Singapore courts, subject to any non-excludable right to bring a claim elsewhere. A person who is not a party to these Terms has no right under the Contracts (Rights of Third Parties) Act 2001 to enforce them.
